By accessing or using Geniusko's services, website, or applications (collectively, the 'Services'), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Services.

Geniusko provides AI-powered tools to audit, manage, and optimize Meta (Facebook and Instagram) advertising, together with AI content generation (images, video, and avatars) for use in ads. With your consent, our platform connects to your Meta advertising account to analyze performance and, at your direction, apply changes such as pausing ads or adjusting budgets.

To access certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You retain ownership of any content you create, upload, or share through our Services ('User Content'). By submitting User Content, you grant Geniusko a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving our Services.

You agree not to submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. We reserve the right to remove any content that violates these terms.

Geniusko and its licensors own all intellectual property rights in the Services, including but not limited to software, designs, algorithms, and documentation. Nothing in these Terms transfers any such rights to you.

Images and avatars generated through our Services are subject to our content policies. While you may use these for personal or commercial purposes in accordance with your subscription plan, Geniusko retains certain rights to the underlying technology and models.

Some features of our Services require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as they become due. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our fees at any time, but will provide notice before any change takes effect.

We may terminate or suspend your access to our Services at any time, without prior notice, for any reason, including if we believe you have violated these Terms.

THE SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GENIUSKO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

IN NO EVENT SHALL GENIUSKO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

When using conversion-measurement tools (Meta Pixel and the Conversions API), through Geniusko you may send personal data of your visitors and customers to Meta. With respect to this data you are the controller and Geniusko (Zarabaj Online OÜ) acts as a processor that processes the data solely on your instructions. You are responsible for having a lawful basis for the processing and for obtaining from your visitors all legally required consents and providing them with the relevant information (for example a cookie banner and a privacy policy on your website). Geniusko passes the data to Meta as a sub-processor; further sub-processors are listed in the Privacy Policy. We delete the data on request in accordance with the data-deletion page.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or via email. Your continued use of the Services after such notification constitutes acceptance of the new Terms.
